Terms & Conditions

IMPORTANT NOTICE: PLEASE READ THESE TERMS AND CONDITIONS ("AGREEMENT") CAREFULLY BEFORE REGISTERING FOR OR PARTICIPATING IN ANY QIM ACADEMY PROGRAMME. BY SUBMITTING A REGISTRATION FORM OR COMPLETING PAYMENT, YOU ("PARTICIPANT") ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT IN ITS ENTIRETY. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE REGISTRATION AND REFRAIN FROM PARTICIPATION.

1. Parties and Definitions

1.1 "QuantumIntegrated Machines" / "QIM" / "Company" / "we" / "us" / "our" refers to QuantumIntegrated Machines Private Limited (CIN: U26103TS2026PTC209447), a company incorporated under the Companies Act, 2013, having its registered office at Innov8, Pranava Business Park, 7th Floor, Plot No. 17, 20, 21, 22, 24, 25, 50, 51, Survey No. 29 to 33, Kondapur, Kothaguda, Telangana – 500084, operating QIM Academy.

1.2 "QIM Academy" / "Academy" refers to the online education platform and all programmes operated by QuantumIntegrated Machines.

1.3 "Participant" / "you" / "your" refers to any individual who submits a registration form, completes payment, or participates in any Programme.

1.4 "Programme" refers to any cohort, course, track, session, hackathon, or associated educational activity offered by QIM Academy.

1.5 "Track" refers to the Quantum Algorithms & Programming track, the Quantum Hardware Design track, or both tracks combined, as selected by the Participant.

1.6 "Services" refers to all services provided by QIM Academy, including but not limited to live session delivery, session recordings, certification, and hackathon facilitation.

1.7 "Intellectual Property" means all patents, copyrights, trademarks, trade secrets, know-how, and all other intellectual property rights, whether registered or unregistered.

1.8 "Confidential Information" means any non-public information, materials, or data disclosed by QIM Academy to the Participant in connection with the Programme.

2. Acceptance of Terms

2.1 These Terms constitute a legally binding agreement between you and QuantumIntegrated Machines under the Indian Contract Act, 1872.

2.2 By submitting a registration form or completing payment for any Programme, you unconditionally accept these Terms in their entirety without modification.

2.3 If you are registering on behalf of an organisation, institution, or employer, you represent and warrant that you have the authority to bind that entity to these Terms, and that entity accepts these Terms.

2.4 If you do not agree to any part of these Terms, you must not register for or participate in any Programme.

3. Eligibility

3.1 Programmes are open to individuals who are at least 18 years of age at the time of registration.

3.2 By registering, you represent and warrant that: (a) you are at least 18 years of age; (b) all information provided during registration is accurate, complete, and current; and (c) your participation does not violate any applicable law or obligation to a third party.

3.3 QIM Academy reserves the right to verify eligibility at any time and to cancel registration if eligibility requirements are not satisfied, with a full refund of any fees paid.

4. Programme Overview

4.1 QIM Academy offers intensive short-format online programmes in Quantum Algorithms & Programming and Quantum Hardware Design, conducted in cohorts with fixed start dates, live sessions, and a capstone hackathon in Week 3.

4.2 Programme details, session content, instructors, and schedules are subject to change at QIM Academy's discretion. Material changes will be communicated to enrolled Participants by email.

4.3 QIM Academy does not guarantee any specific learning, career, professional, or academic outcome as a result of Programme participation.

5. Registration and Enrolment

5.1 Submission of the registration form constitutes an expression of interest only and does not confirm enrolment or reserve a seat in any Programme.

5.2 Enrolment is confirmed exclusively upon receipt of full payment by QIM Academy. No seat shall be considered confirmed until payment is received in full.

5.3 Following form submission, QIM Academy will send payment instructions and onboarding information to the email address provided by the Participant within 24 hours, subject to business hours and system availability.

5.4 QIM Academy reserves the right, in its sole and absolute discretion, to decline or cancel any registration without assigning reason. In such event, any fees received will be refunded in full within 7 business days.

5.5 The Participant is solely responsible for ensuring that the email address and all other registration details provided are accurate and current. QIM Academy shall not be liable for any non-delivery of communications resulting from inaccurate or outdated information.

5.6 Each Programme cohort has a strictly limited number of seats. Submission of a registration form does not reserve, hold, or guarantee a seat. Seats are allocated strictly on a first-come, first-served basis upon receipt of full payment. In the event that a cohort reaches full capacity before the Participant's payment is processed, QIM Academy will notify the Participant and offer either enrolment in the next available cohort or a full refund of any amount received. QIM Academy shall not be liable for any loss, inconvenience, or damages arising from the unavailability of seats.

6. Fees and Payment

6.1 Programme fees for the inaugural (first) cohort are as follows:

  • Quantum Algorithms & Programming Track: INR 2,499 (one-time, per cohort) — introductory first-cohort rate
  • Quantum Hardware Design Track: INR 2,499 (one-time, per cohort) — introductory first-cohort rate
  • Both Tracks Combined: INR 4,499 (one-time, per cohort) — introductory first-cohort rate

These fees are introductory rates applicable exclusively to the first cohort of QIM Academy Programmes. Refer to Clause 6.6 for full details on pricing variability across cohorts.

6.2 All fees are denominated in Indian Rupees (INR). QuantumIntegrated Machines Private Limited is not currently registered for Goods and Services Tax (GST), and the fees stated are not subject to GST at this time. Should GST registration become applicable, any taxes payable will be clearly indicated at the time of payment.

6.3 Full payment must be completed before the cohort start date. QIM Academy reserves the right to release a reserved seat if payment is not received by the payment deadline communicated to the Participant.

6.4 QIM Academy does not collect or store payment card information directly. All payment processing is handled by authorised third-party payment processors. By completing payment, you agree to be bound by the terms and privacy policy of the applicable payment processor.

6.5 QIM Academy reserves the right to revise Programme fees for future cohorts at any time and without prior notice. Fee revisions will not affect Participants who have already completed full payment for a confirmed cohort prior to the date of such revision.

6.6 Introductory Pricing Disclaimer. The fees set out in Clause 6.1 represent introductory pricing offered exclusively for the first cohort of QIM Academy Programmes. Any reference to "1st cohort pricing", "founding cohort rate", "introductory rate", or similar language on QIM Academy's website, marketing materials, registration pages, or other communications shall be understood to apply solely to the specific cohort for which such pricing is advertised and confirmed at the time of payment. Such references do not constitute a representation, warranty, or commitment that the same pricing will be offered, maintained, or available for any subsequent cohort. Participants acknowledge that Programme fees for future cohorts may be higher, and that QIM Academy makes no guarantee of price continuity across cohorts. No claim, expectation, or entitlement to first-cohort pricing shall arise for any Participant registering for a cohort subsequent to the first cohort, regardless of any prior communications or website content viewed at an earlier date.

7. Refund and Cancellation Policy

7.1 Full Refund (Cooling-Off Period): A Participant is entitled to a full refund of fees paid if a written refund request is submitted within 7 (seven) days of the date and time of payment completion, and is received no later than 7 (seven) days before the cohort start date. No refund shall be available where the request is made within the 7 (seven) days immediately preceding the cohort start date, after the cohort has commenced, or after the Participant has accessed any live session, session recording, or course material, whichever occurs first.

7.2 No Refund: After the expiry of the cooling-off period set out in Clause 7.1, all fees paid are strictly non-refundable under any circumstances, including but not limited to:

  • inability to attend sessions due to personal, professional, medical, or technical reasons;
  • dissatisfaction with Programme content, delivery, or instructors;
  • withdrawal or discontinuation after the refund window has closed;
  • missed, skipped, or unutilised sessions or recordings.

7.3 All refund requests must be submitted in writing to contact@qimacademy.com within the applicable cooling-off period set out in Clause 7.1. Verbal, telephonic, or informal requests shall not be accepted or acted upon.

7.4 Approved refunds will be processed within 7–10 business days to the original payment method used by the Participant.

7.5 In the event QIM Academy cancels an entire Programme cohort before its commencement, all enrolled Participants will receive a full refund regardless of the date of payment, processed within 7 business days of cancellation notice.

7.6 The Participant expressly acknowledges that the cooling-off period set out in Clause 7.1 has been clearly and prominently disclosed prior to payment, and that the Participant knowingly, voluntarily, and as a material term of this Agreement accepts the refund and non-refund provisions of this Clause 7. Nothing in this Clause limits any non-excludable right available to a consumer under applicable law.

8. Programme Delivery

8.1 All Programme sessions are delivered live online via video conferencing platforms designated by QIM Academy. Participants are responsible for ensuring they have access to a stable internet connection and compatible device.

8.2 Session recordings will be made available to enrolled Participants for a period of 90 days following each session. Access to recordings will expire automatically thereafter and will not be extended.

8.3 QIM Academy will use all reasonable efforts to deliver sessions as scheduled. In the event a session is cancelled by QIM Academy, it will be rescheduled or replaced with a substitute session of equivalent content and duration. No refund will be issued for a rescheduled session.

8.4 Session schedules are subject to minor adjustments. Participants will be notified by email of any significant changes to the schedule at least 24 hours in advance where practicable.

8.5 Weeks 1 and 2 of each cohort involve live instruction, with an estimated Participant time commitment of 15–20 hours inclusive of self-study. Week 3 constitutes the mandatory hackathon. These estimates are indicative only.

9. Certification

9.1 Course Completion Certificate. A digitally signed QIM Academy Course Completion Certificate will be issued to Participants who satisfy all of the following conditions:

  • attend all required live sessions during Weeks 1 and 2 of the Programme;
  • complete all assignments and assessments to the satisfaction of QIM Academy's instructors; and
  • participate in the Week 3 hackathon in its entirety.

9.2 Hackathon Achievement Certificate. A separate digitally signed QIM Academy Hackathon Achievement Certificate may be issued to top-performing or winning Participants of the Week 3 Hackathon, at QIM Academy's sole and absolute discretion based on performance evaluation. This certificate is not guaranteed and does not constitute a contractual entitlement arising from payment of Programme fees or participation in the Programme.

9.3 Scope of Certification. Both the Course Completion Certificate and the Hackathon Achievement Certificate are awarded solely in recognition of a Participant's completion of the QIM Academy Programme and performance in the hackathon respectively. Neither certificate constitutes, represents, or implies: (a) proficiency in, endorsement of, or qualification for any specific tool, software, platform, programming language, or technology used or referenced during the Programme (including but not limited to Qiskit or any quantum computing software); (b) any academic degree, diploma, or government-recognised qualification; (c) any professional licence, industry certification, or regulatory credential; or (d) any right to academic credit, unless expressly confirmed in writing by QIM Academy.

9.4 Certificates are issued in digital format only. No physical certificate will be issued under any circumstances.

9.5 QIM Academy reserves the right to withhold or revoke any certificate from any Participant who does not meet all attendance, assignment, and conduct requirements as set out in these Terms, or who is found to have engaged in academic dishonesty, plagiarism, or any breach of the Code of Conduct.

9.6 QIM Academy makes no representation that either certificate will be recognised, accepted, or valued by any employer, academic institution, regulatory body, or third party. Participants are solely responsible for verifying the relevance and acceptability of the certificate with any third party before relying upon it for any professional or academic purpose.

10. Hackathon

10.1 Week 3 of each Programme cohort constitutes a mandatory hackathon, completed individually or in small teams depending on cohort size. Participation in the hackathon is a prerequisite for eligibility for the completion certificate.

10.2 Intellectual property created solely by Participants during the hackathon shall remain owned by the respective Participant(s), unless a separate written agreement assigning intellectual property rights to QIM Academy is executed prior to or during the hackathon.

11. Intellectual Property Rights

11.1 All course materials, curricula, syllabi, presentations, slides, recordings, assessments, code, tools, and content made available through QIM Academy (collectively, "QIM Content") are the exclusive intellectual property of QuantumIntegrated Machines and are protected under the Copyright Act, 1957, and applicable Indian and international intellectual property laws.

11.2 Upon enrolment, QIM Academy grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use QIM Content solely for your own personal, non-commercial educational purposes during and immediately following the Programme period.

11.3 You shall not, and shall not permit, assist, or facilitate any third party to:

  • copy, reproduce, store, distribute, transmit, broadcast, publish, display, sell, license, or otherwise exploit any QIM Content in any medium or format;
  • record, screen-capture, screenshot, or create derivative works from any live session, recording, or material;
  • share login credentials, session links, or platform access with any person who is not an enrolled Participant;
  • use any QIM Content for commercial purposes, training of third parties, or development of competing products or services;
  • remove, obscure, or alter any copyright, trademark, or proprietary notice contained in any QIM Content.

11.4 Any breach of this Clause 11 may result in immediate termination of access to the Programme without refund, civil liability for damages including loss of profits, and, where applicable, criminal liability under the Copyright Act, 1957.

12. Participant Obligations and Code of Conduct

12.1 By participating in any Programme, you agree to:

  • engage respectfully, professionally, and in good faith with QIM Academy instructors, staff, and fellow Participants at all times, whether during live sessions, in written communications, or on any associated platform;
  • refrain from any form of harassment, discrimination, bullying, abusive language, or disruptive behaviour;
  • comply with all applicable laws, rules, and regulations in connection with your participation;
  • not share, sell, or transfer your enrolment, login credentials, session access links, or Programme materials to any third party;
  • maintain the confidentiality of any Confidential Information disclosed during the Programme and not disclose such information to any third party without QIM Academy's prior written consent.

12.2 QIM Academy reserves the right, in its sole and absolute discretion, to remove any Participant who violates this Code of Conduct at any time and without prior warning. Removal shall not entitle the Participant to any refund of fees paid.

12.3 Removal does not relieve the Participant of any obligations or liabilities arising under these Terms prior to or following removal, including obligations of confidentiality and intellectual property.

13. Disclaimer of Warranties

13.1 QIM Academy provides its Services on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, QIM Academy expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.

13.2 QIM Academy does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) any technical issues or platform outages will be resolved within a specific time; (c) any specific learning, career, professional, or financial outcome will result from Programme participation; or (d) Programme content will be current, complete, or applicable to your specific field or requirements.

14. Limitation of Liability

14.1 To the maximum extent permitted by applicable law, QuantumIntegrated Machines and its directors, officers, employees, instructors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any nature, including but not limited to loss of profit, revenue, data, goodwill, business opportunity, or anticipated savings, whether arising in contract, tort, negligence, or otherwise.

14.2 QIM Academy shall not be liable for damages arising from: (a) platform outages, internet connectivity failures, or third-party service interruptions beyond its reasonable control; (b) your reliance on any Programme content for professional, financial, or career decisions; or (c) actions or omissions of third-party service providers.

14.3 In all cases, QIM Academy's maximum aggregate liability to any Participant arising out of or in connection with these Terms or any Programme, regardless of the form of action, shall not exceed the total Programme fees actually paid by that Participant for the relevant cohort.

14.4 Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by QIM Academy's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable Indian law.

15. Indemnification

15.1 You agree to indemnify, defend, and hold harmless QuantumIntegrated Machines, its directors, officers, employees, instructors, and agents from and against any and all claims, demands, actions, liabilities, losses, damages, penalties, fines, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with:

  • your breach of any provision of these Terms;
  • your violation of any applicable law, regulation, or third-party right;
  • your conduct, representations, or actions during or in connection with any Programme;
  • any inaccuracy, misrepresentation, or omission in information provided by you during registration or otherwise.

16. Force Majeure

16.1 QIM Academy shall not be in breach of these Terms, nor liable for any failure or delay in performance of any of its obligations, arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemic, pandemic, war, civil unrest, government orders or restrictions, power outages, internet or telecommunications infrastructure failures, or third-party platform outages (each, a "Force Majeure Event").

16.2 In the event of a Force Majeure Event, QIM Academy will use reasonable efforts to reschedule or otherwise accommodate affected Participants. If an entire Programme cohort cannot be delivered due to a Force Majeure Event, QIM Academy will offer each enrolled Participant the choice of a full refund or credit toward a future cohort.

17. Third-Party Services and Platforms

17.1 QIM Academy utilises third-party platforms and services for session delivery, payment processing, registration form submission, and other operational purposes. QIM Academy makes no representations or warranties with respect to the availability, security, or reliability of third-party services.

17.2 QIM Academy shall not be liable for any loss, damage, disruption, or data breach arising from your use of or reliance on any third-party platform or service.

17.3 Your use of any third-party service is subject to that party's own terms of service and privacy policy, which you are responsible for reviewing and accepting independently.

18. Severability

18.1 If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, lawful, and enforceable. The remaining provisions of these Terms shall remain in full force and effect and shall not be affected by such modification.

19. Waiver

19.1 No failure or delay by QIM Academy in exercising any right, remedy, power, or privilege under these Terms shall operate as or constitute a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

20. Entire Agreement

20.1 These Terms, together with QIM Academy's Privacy Policy (available at privacy-policy.html), constitute the entire agreement between you and QuantumIntegrated Machines with respect to your participation in QIM Academy Programmes and supersede all prior agreements, representations, warranties, negotiations, and understandings, whether written or oral, relating to the same subject matter.

21. Amendments

21.1 QIM Academy reserves the right to amend these Terms at any time at its sole discretion. Material amendments will be communicated to registered Participants by email at least 7 days prior to the amended Terms taking effect.

21.2 Continued participation in any Programme after the effective date of any amended Terms constitutes your unconditional acceptance of the amended Terms.

21.3 It is your sole responsibility to review these Terms periodically for updates.

22. Governing Law and Jurisdiction

22.1 These Terms are governed by and shall be construed in accordance with the laws of India, without reference to its conflict of law principles.

22.2 Subject to Clause 23 below, the courts of Hyderabad, Telangana, India shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms.

23. Dispute Resolution

23.1 In the event of any dispute, controversy, or claim arising out of or in connection with these Terms, or their breach, termination, or validity, the parties shall first attempt to resolve such dispute through good-faith negotiation for a period of 30 days from the date of written notice by either party to the other.

23.2 If the dispute is not resolved through negotiation within the said 30-day period, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time). The seat and venue of arbitration shall be Hyderabad, Telangana, India. The arbitration shall be conducted in the English language before a sole arbitrator mutually agreed upon by the parties, or if agreement cannot be reached within 15 days, appointed in accordance with the said Act.

23.3 The arbitral award shall be final and binding on both parties. Nothing in this Clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

All notices, requests, demands, and communications under these Terms must be in writing and sent to:

Notices sent by email shall be deemed received on the next business day following transmission, subject to no delivery failure notification being received.
